Shoreline Holdings's management is
comprised of successful real estate professionals and
financial experts. We are seeking additional
management to enhance risk management and project
operations infrastructure. The current management team
is as follows:

Mr. Deppe is the
founder and CEO of American Property
Solutions, Inc. (APSI) in Columbia, South
Carolina and a licensed real estate agent.
APSI is a real estate investment and
property management firm. APSI co-owns and
manages a portfolio of over 80 residential
properties in South Carolina and Georgia.
After forming Shoreline Holdings, LLC, Mr.
Deppe brought in new management to APSI but
remains its Chairman. Mr. Deppe, along with
the founding members, formed Shoreline
Holdings, LLC to capitalize on the
opportunities in condominium conversions in
resort and coastal markets.
Mr. Deppe is a successful entrepreneur with
an impressive history as a financial
services consultant and then later as the
founder of Connecticut's largest in-home
fitness company. He has been involved in
real estate transactions as an investor and
manager since January, 2000 and has
completed over 100 successful acquisitions.

Mr. Arlt has held
financial and managerial positions with
large companies such as GE Capital, Cunard
Cruise Lines, and PepsiCo. A Certified
Public Accountant (inactive), he holds an
M.B.A. in Finance from the Wharton School of
the University of Pennsylvania. In 1996 he
began acquiring residential properties on a
part-time basis and was able to go full-time
the following year. His energies have been
devoted exclusively to real estate since
that time as both a successful investor and
agent.
Mr. Arlt currently runs Tidewater Funding
Group, Inc., Tennessee Home Solutions Inc.,
and Sweet Home, LLC which own and manage
over 300 residential properties in Virginia,
Tennessee, Kentucky, Alabama and the
Carolinas.
Mr. Arlt is an active educator in the field
of real estate investing, participating in
seminars as a speaker and instructor. He is
the author of the popular Wrap Your
Way to Wealth, a comprehensive audio
program geared toward beginning and
experienced investors alike. He is featured
in several books on real estate and
investing, including The Millionaire
Real Estate Investor, by Gary Keller
(of Keller Williams Realty International).

Newberry College and
is a licensed real estate agent in Virginia.
After graduating with a degree in Business
Administration, he spent four years in the
NFL during which time he began investing in
residential and commercial real estate.
After his retirement from the NFL, Mr.
Hartle became involved in the construction
industry. From 1978-1981 he was president of
HMH Construction Inc., a company
specializing in residential home building.
In 1981 Mr. Hartle took a position with
Cedar Shakes Roofing, Inc. During his five
years with Cedar Shakes, sales grew over
300%.
In 1986, Mr. Hartle
founded Southern Pacific Contracting, Inc.
After several successful years as a roofing
company, Mr. Hartle expanded operations to
include the construction of custom
residential homes in Virginia and the Outer
Banks of North Carolina. In 1987, Mr. Hartle
opened Bonnie and Clyde's Restaurant in
Haymarket, Virginia. After three very
successful years, it grew into one of the
leading restaurants in the area. In 1990, he
sold the business to devote more time to his
growing family and the rapid expansion of
Southern Pacific Contracting, Inc. Mr.
Hartle is also currently involved in the
development of commercial real estate while
continuing to be involved in residential
real estate in Virginia, North Carolina, and
South Carolina.

Mr. Hannon is Chairman
of the Board of Delhi-Solac Inc., a
privately held, Canadian based manufacturer
of steel tubing. Delhi-Solac Inc. is owned
by Mr. Hannon and members of his family and
operates two facilities near Montreal and
Toronto. In addition to this business, Mr.
Hannon is involved in a number of real
estate investments in Canada and the U.S.
Mr. Hannon's prior experience includes
capital markets experience as Senior Vice
President for GE Capital's Telecom Financial
Services ("TFS") business unit. He was
responsible for the origination of
structured project finance and private
equity business with major
telecommunications vendors. Mr. Hannon's
client base focused on emerging service
providers including CLECs, Data LECs, ISPs,
ASPs and broadband infrastructure companies
in North America and Europe.
Prior to joining GE Capital in early 1999,
Mr. Hannon was an Executive Director in the
Global Telecommunications Investment Banking
Group at CIBC World Markets from 1995 to
1999. While at CIBCWM he was involved in a
wide range of private equity, financial
advisory and debt financings for numerous
telecom ventures with a primary focus on
submarine cable and cross-border
infrastructure projects.
Mr. Hannon will act as
Shoreline Holdings's
bank liaison and debt management expert. His
extensive capital markets experience will
bring credibility and peer recognition to
negotiations with large Wall Street
Financial Firms.

Mr. Valentino is a
young aggressive funding expert with an
impressive banking history with 1st 2nd
Mortgage Co. of N.J. Inc. Mr. Valentino
spearheaded the wholesale lending division
of 1st 2nd Mortgage and in less than one
year, grew it into one of the leading
wholesale lenders on the East Coast.
Prior to 1st 2nd Mortgage, Mr. Valentino was
employed with Domain Properties in
Manhattan. During his time at Domain
Properties, Mr. Valentino was responsible
for marketing and management of Domain's
rental units in the Upper West Side, Upper
East Side and Downtown.
